Facility Use Agreement

1. Scope

This Agreement governs the use of the Food Pilot Plant (FPP) facility, its equipment, and support services by the Client (the "User"). By submitting a booking request and checking the acknowledgement box, the User agrees to be bound by these terms.

2. Booking and Scheduling

All bookings are subject to availability and are not confirmed until the FPP team issues a written confirmation email. A 70% deposit of the estimated service cost is required before the appointment date to secure the booking.

3. Cancellation Policy

Cancellations must be submitted in writing at least 72 hours before the scheduled appointment. Cancellations received after this deadline may result in forfeiture of the deposit. The FPP reserves the right to cancel or reschedule bookings due to facility maintenance, equipment failure, or other operational reasons.

4. Health, Safety and Hygiene

All Users and accompanying persons must comply with FPP health, safety, and food hygiene requirements at all times while on the premises. This includes wearing appropriate personal protective equipment (PPE) as directed by FPP staff, observing all posted signs and instructions, and refraining from entering restricted areas.

5. Allergen Management

Users whose products contain or have contact with allergens (including but not limited to nuts, gluten, dairy, shellfish, soy, and eggs) must declare this at the time of booking. Allergen processing is scheduled exclusively on Fridays to allow for thorough facility cleaning. The User accepts full responsibility for accurate allergen disclosure.

6. Raw Materials and Ingredients

The User is responsible for supplying all raw materials required for their production session unless otherwise agreed in writing. Materials must be delivered to the facility by the agreed date. The FPP accepts no liability for materials that are spoiled, unsuitable, or delivered late.

7. Intellectual Property

All formulations, recipes, product specifications, and proprietary processes disclosed or used at the FPP remain the intellectual property of the User. The FPP undertakes to keep such information confidential and will not share it with third parties without the User's written consent.

8. Liability

The FPP shall not be liable for any loss, damage, or injury arising from the User's failure to comply with these terms, misuse of equipment, or negligent acts of the User or accompanying persons. The User indemnifies the FPP against all claims arising from such conduct.

9. Pricing and Payment

All cost estimates provided during the booking process are indicative only. The final amount will be confirmed on the invoice issued after the service is completed. Prices are in Jamaican Dollars (JMD) unless stated otherwise.

10. Governing Law

This Agreement is governed by the laws of Jamaica. Any disputes shall be resolved through the courts of Jamaica.
